# Terms and Conditions

These user terms and conditions apply to all services offered by Extend Enterprises, Inc. Please read these terms and conditions carefully, as they govern your use of our services. If you are agreeing to these terms and conditions on behalf of a company, "you" and "your" as used in these terms and conditions will refer to that company, and you represent and warrant that you have the authority to enter into binding agreements on behalf of your company.

Your agreement to these terms and conditions at the creation of your Extend user account constitutes your agreement to be bound by these terms and conditions. You acknowledge that (a) you have read and understood these terms and conditions, and (b) these terms and conditions shall have the same force and effect as a signed agreement. By agreeing to these terms and conditions, you are also consenting to us providing you notices or updates to these terms electronically as further set forth below in "Changes to Our Services and to these User Terms and Conditions."

## 1. Definitions

The following terms used in these terms and conditions are defined as follows:

"Account Owner" refers to a user of Extend who is the holder of a Registered Card in Extend.

"Budget" refers to a feature of the Extend service that allows an Account Owner to designate a user other than themselves with the ability to issue any number of virtual cards up to a preset maximum total aggregate dollar amount, and send, modify, or cancel such virtual cards, all under that Account Owner's Registered Card.

"Budget User" refers to a user who is granted a Budget by an Account Owner with respect to a specific Registered Card. An Account Owner may allow more than one Budget User to have access to the same Budget.

"Organization Owner" or "Org Owner" refers to a designated user who initially sets up the Organization and thereafter acts as the super-administrator over the Organization.

"Organization" refers to the user or users, or company or companies, that in the aggregate comprise a single organization that uses the Extend services.

"Recipient" refers to a user of Extend or a third party who receives a Virtual Card through Extend.

"Registered Card" refers to the credit card, credit account, charge card, central bill account, or other credit product issued to an Account Owner by a participating financial institution that such Account Owner registers within Extend.

"Roles" refers to the user roles that may be present in an Organization, with accompanying permission abilities.

"Virtual Card" refers to a 15- or 16-digit number and associated information (such as the security code, expiration date, and billing address), and any Virtual Card Parameters that may apply.

"Virtual Card Parameters" refer to the parameters by which a virtual card is limited. These parameters may include the maximum amount of spend authorized on a Virtual Card and the validity date set on a Virtual Card during which the Virtual Card can be used to transact.

## 2. Use Of Our Services

Extend offers a platform that allows users to register a Registered Card and create associated Virtual Cards; to track transactions and allow or receive access to the same via permissions; to have access to certain expense or spend management features; to have access to transaction and other data associated with a Registered Card; to have access to certain payment features to enable payment to vendors; and to have access to certain API feeds. By using Extend, you agree to comply with these terms and conditions, including our privacy policy. You agree that you will use Extend (a) only for legitimate and lawful purposes, (b) only in connection with commercial or business purposes and not for personal or household purposes, and (c) in compliance with all applicable laws or regulations that apply to you and to your use of our services. You will not use Extend to engage in any illegal or prohibited activities, nor provide to or allow Extend to be used for any transaction involving an individual, organization, country, or jurisdiction that is blocked or sanctioned by the United States, including those identified on any lists maintained by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC) or the U.S. Department of State, or such sanctions lists applicable to the country in which you are located.

Extend does not process any credit card transactions. You are solely responsible for using the Virtual Card information made available to you or sent by you through Extend, in a manner that complies with the terms and conditions governing the applicable Registered Card and any applicable laws or regulations.

## 3. Creating a User Account

To use Extend, you must first create a user account with us, which requires your first name, last name, a valid phone number, a valid email address, and the creation of a password. Once you have created a user account, you may be designated with one or more Roles within an Organization.

## 4. Creating an Organization

An Organization Owner is the user who creates an Organization for your company, invites other users to be part of that Organization, and is the super-administrator for the Organization. An Organization may have multiple Account Owners within it, as well as other Roles that have their own respective abilities and responsibilities. You, as the company for which the Organization was created, agree to be responsible for (a) any access to your Organization by a user account within your Organization, (b) the activity of or approvals by Roles, (c) the activity of any user with an assigned Role, or any other activity by anyone associated with your Organization, and (d) any Virtual Cards sent to a Recipient.

## 5. Virtual Card Creation and Distribution Services

To be able to create and send a Virtual Card, a user must first register a Registered Card that is eligible for Virtual Card creation, and provide the billing address associated with that Registered Card. That Account Owner will be solely responsible for all Virtual Cards associated with the Registered Card, the Virtual Card Parameters of each Virtual Card, the usage of each Virtual Card, any Roles within their Organization or Recipients with access to such Virtual Cards, and any Budget Users they designate to create and send Virtual Cards in connection with that Registered Card.

## 6. API Services

Extend offers an application programming interface (API) through which to access the Extend services. Extend grants to a user of our API a non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to use and display the Extend API solely for purposes of using the Extend service as allowed under these terms and conditions. You may not sublicense the Extend API to any third party or otherwise permit any third party to access the Extend API. You agree that you will not, and you will not permit anyone else to, copy, adapt, reverse engineer, decompile, disassemble, modify, adapt, or make any error corrections to the Extend API, in whole or in part. You must ensure and are solely responsible for the access credentials that you use to access the Extend API, and you are solely liable for any access to the Extend API using such credentials, whether or not authorized by you.

## 7. Fees

There are no fees for the use of the basic card distribution features of the Extend services by an Organization or user, unless otherwise agreed separately between us and you, or between us, you, and the issuer of the Registered Card you use in Extend, in which case, notice of any such applicable fees will be communicated to you separately and with prior notice. Fees may apply for use of our premium services, which include our expense management services, our API service, and other services which we may make available in the future. Prior to your access to any service for which fees apply, you will be presented with terms of use including the fees applicable to such features and must agree to such fees in order to access, or continue to access, such services.

## 8. Limitation on Access

Your access to and use of Extend is at our sole discretion. We reserve the right to interrupt, limit, block, restrict, or terminate your access to our services at any time for any reason. If we take these actions against you, you will have only limited, restricted, or no access to Extend. As an example, we may limit the number of Virtual Cards you can create, cancel existing Virtual Cards, limit the number of Registered Cards that you can register, or block access to your account.

## 9. Updating Your Information

It is your responsibility at all times to keep updated and accurate within Extend (a) information about you, your company, and users within your Organization; (b) who is designated with a specific Role; (c) Virtual Cards and the parameters set on any Virtual Cards; and (d) roles and permissions assigned to users.

## 10. Other Third Party Services

Our services are separate from other services you may need or voluntarily choose to use in connection with ours, such as services provided to you by your mobile device maker, your telecommunication provider, your employer or other company that is requesting you to use our services, an enterprise resource planning, accounting, expense or spend management or other similar type of platform, or the financial institution providing the Registered Card that an Account Owner registers in Extend. We have no responsibility with respect to these third parties and any services they provide to you. We do not control any such third party content, sites, or applications, and we are not responsible or liable for the availability, accuracy, completeness, or reliability of third party content or for damages, losses, failures, or problems caused by, related to, or arising from such third party content or the products or practices of third parties. It is your responsibility to ensure that your use of our services is allowed under your agreement with any such third parties and that you have the necessary consent and authorization from any parties or individuals as may be required under contract or law. You will be solely responsible for any fees or other charges that third parties may charge you in connection with your use of their services in connection with our services.

## 11. Representations and Warranties

You represent and warrant: (a) that you are of legal age to use our services and enter into and be bound by these terms and conditions; (b) if you are using our services on behalf of your company, that you have been authorized to use our services and to accept these terms and conditions on behalf of your company; and (c) that all information you provide us with respect to your user account or Organization is accurate, current, and complete and that you will maintain the accuracy and completeness of such information.

## 12. Security of Your User Account

You are responsible for maintaining adequate security and control of the user ID and password that you create to establish your user account with us.

## 13. Risk of Unauthorized Use

You will be fully and solely responsible for all activity originating from your user account and password. YOU SOLELY TAKE ON THE RISK OF ANY FRAUDULENT, UNAUTHORIZED OR OTHERWISE IMPROPER ACTIVITY THAT MAY RESULT FROM THE USE OF OUR SERVICES THAT ORIGINATE FROM YOUR USER ACCOUNT, INCLUDING, WITHOUT LIMITATION, ANY VIRTUAL CARD CREATION, ANY VIRTUAL CARD PARAMETERS, ANY VIRTUAL CARD USAGE, ANY RECIPIENTS WHO GAIN ACCESS TO VIRTUAL CARDS ASSOCIATED WITH YOUR REGISTERED CARD, ANY IMPROPER USE OF THE SERVICES THROUGH ROLES GRANTED WITHIN YOUR ORGANIZATION, ANY ACCESS TO THE API SERVICES USING YOUR ACCESS CREDENTIALS, AND ANY ACCESS TO DATA, IN ALL CASES, WHETHER OR NOT AUTHORIZED BY YOU.

You must notify us immediately if you become aware of or suspect any fraudulent or unauthorized activity on your account.

## 14. Limited License to Our Services

We grant you a non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to access or use our services, which may include software, website interfaces or applications, including any subsequent updates or upgrades. You agree not to modify, alter, tamper with, repair, copy, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile, or otherwise attempt to create any source code that is derived from our services. You also agree to not upload viruses or malicious code to Extend, use the services to send spam, or do anything else that could disable, overburden, interfere with, or impair the proper working, integrity, operation, or appearance of Extend.

## 15. Security of Your Data

Registered Card and Virtual Card information sent through Extend are transmitted in compliance with the Payment Card Industry Data Security Standards, or PCI-DSS v4.0.1.

## 16. Use of Your Data

BY USING OUR SERVICES, YOU AGREE THAT WE MAY COLLECT, RETAIN, SHARE AND USE YOUR DATA, WHETHER AT A TRANSACTIONAL LEVEL OR AGGREGATED WITH OTHER USER DATA, FOR PURPOSES OF PROVIDING SERVICES TO YOU, FOR ANALYTICAL PURPOSES THAT WILL HELP US IMPROVE OUR SERVICES AND THE USER EXPERIENCE, FOR PURPOSES OF CUSTOMER ENGAGEMENT AND OTHER MARKETING ACTIVITY.

ENTITIES WITH WHICH WE MAY SHARE YOUR DATA INCLUDE OTHER INDIVIDUALS WITHIN YOUR ORGANIZATION, THE FINANCIAL INSTITUTION THAT PROVIDED THE ACCOUNT OWNER WITH THE REGISTERED CARD USED IN THE EXTEND SERVICES; MERCHANTS; YOUR EMPLOYER OR THE COMPANY THROUGH WHICH YOU ARE UTILIZING THE EXTEND SERVICES, ANY THIRD PARTIES TO WHICH YOU LINK YOUR ACCOUNT, THE CARDHOLDER OR BUDGET USER WHO SENT OR APPROVED THE VIRTUAL CARD YOU RECEIVED, OR CARD NETWORKS SUCH AS VISA, MASTERCARD, OR AMERICAN EXPRESS. IN ADDITION TO SHARING YOUR DATA WITH SUCH ENTITIES, EXTEND MAY ALSO RECEIVE DATA ABOUT YOU FROM THESE ENTITIES. BY USING OUR SERVICES, YOU ACKNOWLEDGE AND CONSENT TO OUR SHARING OF SUCH DATA WITH THESE ENTITIES AND OUR RECEIPT OF SUCH DATA ABOUT YOU FROM THESE ENTITIES.

Please see our Privacy Policy for further information about the data we may collect from or about you, including data we may receive about you from third parties, in connection with your use of our services.

All use of your data will be in compliance with our Privacy Policy.

## 17. Confidential Information

In your use of our services, you may have access to certain non-public information, data, software, specifications, or code that is confidential and proprietary to us (collectively, "Confidential Information"). You may use such Confidential Information only to the extent necessary to use our services, and for no other purpose. You agree not to disclose, publish, or disseminate any of our Confidential Information to any third party or to use any such Confidential Information for your own or any third party's benefit. You may not use or export any Confidential Information in violation of any applicable laws or regulations. You further agree to take reasonable precautions to prevent any unauthorized use, disclosure, publication, or dissemination of Confidential Information.

## 18. Changes to Our Services and to These User Terms and Conditions

We reserve the right to make any changes to our services, and to modify or discontinue any features or portions of our services, without prior notice to you.

We may make changes to these user terms and conditions at any time, by posting the revised terms and conditions and the future date when such revisions will take effect. Your continued use of the service after the effective date of the new terms will constitute your acceptance of such changes. If you do not agree to the new terms, then as your only recourse, you should discontinue use of our service prior to the date the revised agreement takes effect.

## 19. Notices

You are responsible for providing and maintaining with us an updated and valid email address, which we will use to contact you for any important updates to our services, including changes to these terms and conditions, which may include changes to any fees that we may charge you in connection with our services.

You agree to email as the means by which we can communicate with you and that receipt of any communication sent from us to you by email will be deemed received by you 24 hours after we send the email to the email address we have on file for your user account.

## 20. Termination of Our Services

We may terminate our services with you at any time for any reason.

It is your responsibility to notify us if you should choose to terminate your user account or Organization with us. You may close your user account or Organization with us at any time by notifying us by email of your decision. Any fees that you owe to us as of the date you terminate your user account will become due and payable immediately.

For information about how we collect, use, and share your information, please see the "Use of Your Data" section above, and review our Privacy Policy, which can be found at www.paywithextend.com/privacy. By using our services, you consent to the capture, collection, use, and sharing of your information by us in accordance with the "Use of Your Data" section of these terms and conditions and our privacy policy.

## 22. Monitoring of Accounts

You agree that Extend may monitor or record the interactions or activities of you or any user in your Organization. Extend may monitor or record communications for quality assurance or other reasonable business purposes and to the extent allowed by law.

## 23. Limitation on Our Liability to You

Your use of our services is at your own risk.

We will not be liable to you for any of the following: your use of, or your inability to use, our services; any fraudulent or unwanted use of your Registered Card or Virtual Cards associated with that Registered Card by you, anyone within your Organization, a Recipient or any third party; any delays, errors, or disruptions in our services; any viruses or other malicious software; and any actions of users within your Organization, Recipients, or any third parties, including the financial institution providing the Registered Card used with Extend, merchants, card processors, or the card networks such as Visa, MasterCard, or American Express. Actions taken by third parties for which we will not be liable may include, but are not limited to, declined Virtual Card transactions, declined requests for creation of a Virtual Card, or declined Registered Card transactions.

To the extent we are found liable to you, our liability will not exceed the total amount of fees paid by you to us in the preceding 12-month period for use of our services, or $100, whichever is greater, unless otherwise prohibited by applicable law.

IN NO EVENT WILL EXTEND ENTERPRISES, INC., ITS AFFILIATES, OR ITS DIRECTORS, OFFICERS, AGENTS OR EMPLOYEES BE LIABLE FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION FOR BREACHES OF PRIVACY, FOR ANY DATA LOSS OR FOR LOSS OF BUSINESS) ARISING OUT OF OR IN CONNECTION WITH OUR SERVICES, OR THE INABILITY TO USE OUR SERVICES, WHETHER OR NOT WE ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, UNLESS AND TO THE EXTENT PROHIBITED BY LAW.

## 24. No Representations or Warranties

OUR SERVICES ARE PROVIDED TO YOU "AS IS," WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND. WE, OUR LICENSORS, OUR PARTNERS, AND OUR SUPPLIERS, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE, OUR LICENSORS, AND OUR SUPPLIERS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT, INFORMATION, SOFTWARE, OR OTHER DATA PROVIDED ON OR THROUGH THE USE OF OUR SERVICES.

## 25. Indemnification

You agree to indemnify and hold harmless Extend Enterprises, Inc., its affiliates, any service providers that provide services jointly to our customers including card issuers and networks, and its and their directors, officers, agents, and employees, for any actions, claims or demands, including attorney's fees, arising in connection with our services or due to a breach of these terms and conditions by you, improper or unauthorized use of your user account or Registered Card by you or by a third party, or your violation of any laws or regulations or the rights of any third party.

## 26. Ownership of Intellectual Property

Extend Enterprises, Inc. owns all right, title, and interest in and to our services and all content in connection with our services, including any copyrights, trademarks, service marks, patents, data, logos, technology, software, and applications. Extend reserves all other rights to intellectual property relating to our services and owns all modifications, improvements, enhancements, derivative works, and additional features to our services, whether made by us on the basis of any feedback, ideas, suggestions, or information provided by you or users within your Organization.

## 27. Beta Services

Extend may make available features or products that are released as beta services in order to launch a feature with real world conditions to then further refine that feature. We may change or discontinue such beta services at any time in our sole discretion. If you use our beta services, we may ask you for your feedback, and you agree any such feedback you provide will be given freely, without restriction, and without compensation or credit.

## 28. Governing Law and Venue

These terms and conditions are governed under the laws of the State of New York without regard to any conflict of law principles. You agree that any action at law or in equity arising out of or relating to these terms and conditions or to the use of our services shall be filed only in the state and federal courts located in New York, New York, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any such suit, action or proceeding.

## 29. Links to Other Sites

Our website and our app may contain links to third party websites. These links are provided solely as a convenience to you and are not an endorsement by us of the content on such third party websites. We are not responsible for the content of any linked third party websites. You access any such linked third party websites at your own risk.

## 30. Other Provisions

Our failure to act with respect to a breach of any of your obligations under these terms and conditions does not waive our right to act with respect to subsequent or similar breaches.

You may not assign any of your rights or obligations under these terms and conditions, whether by operation of law or otherwise. All such attempted assignments shall be null and void. There are no third party beneficiaries to these terms and conditions, and nothing in these terms and conditions creates an agency, partnership, joint venture, or employment relationship between you and us.

These terms and conditions, together with our privacy policy, constitutes the entire agreement between you and Extend Enterprises, Inc. with respect to our services. Any provision of these terms and conditions that a court deems to be invalid will have no effect on the validity of any of the other provisions of these terms and conditions. Terms which by their nature are continuing shall survive even after termination of these terms and conditions, including the terms covering indemnification and our limitation of liability.
